WTS advises CompuGroup Medical on acquisition of majority holding in m.Doc

WTS, one of the leading service providers for tax, and financial & deal advisory, has advised the international healthcare software company CompuGroup Medical SE & Co. KGaA (CGM) on the acquisition of a majority holding in the patient portal provider m.Doc GmbH (m.Doc). 

CGM is one of the leading companies in the field of e-health and is committed to the digitalization of healthcare with software products that are used for medical and organizational activities in doctors' offices, pharmacies, medical laboratories and hospitals.

The company m.Doc, founded in 2016 with locations in Cologne and Lisbon, develops digital patient portals for clinics, rehabilitation and care facilities in order to simplify administrative and medical processes of medical staff in the form of modular patient portals with services such as video consultation hours or online appointment bookings. With the acquisition of a stake in m.Doc, CGM will optimize the possibilities for a complete digital coverage of a patient journey in the inpatient as well as in the outpatient area and further expand them integrated in its systems.

In the context of the transaction, the WTS team led by Axel Wagner (Project Lead) assisted with the tax due diligence and tax structuring of the deal.

The WTS Advisory team with Dirk Spalthoff, Nick Weidemann and Hanna Heeg provided advisory services in the area of financial due diligence and advice on financial clauses of the purchase agreement.

In addition, the international tax part of the transaction was handled by colleagues of Vieira de Almeida (VdA) from the international network WTS Global.
