Distressed Situations & Restructuring Services

Many companies are currently facing significant pressure to adapt and improve performance: rising interest rates and financing costs, volatile markets, ongoing cost increases, and strained supply chains are putting a strain on liquidity, profitability, and financial flexibility. In this situation, it is essential to establish transparency early on, evaluate options for action, and manage the situation systematically – before liquidity bottlenecks, covenant breaches, or going-concern risks arise.

Our Distressed Situations Services are designed for companies in extraordinary situations, their shareholders, management teams, and financing banks. We provide support when reliable decision-making foundations are needed under time pressure—for example, to stabilize liquidity, determine financing needs, prepare for discussions with banks and stakeholders, or utilize legal restructuring instruments (e.g., StaRUG).

The goal is to clearly structure the company’s financial position, cash flow, and earnings and to develop reliable forecasts in order to support decision-making processes in a fact-based, transparent, and forward-looking manner.

Our restructuring service offering

Integrated Business and Cash Flow Planning

In times of crisis and exceptional circumstances, sound liquidity planning determines the scope for action—and often also the personal liability risks faced by management. We develop integrated planning models that consistently reflect the effects on earnings, the balance sheet, and liquidity, and provide transparency regarding solvency, financing needs, and the potential for restructuring. In doing so, we establish the basis for legally sound actions, well-founded restructuring decisions, and targeted communication with banks, shareholders, and other stakeholders.

Our services include, in particular:

  • Determination of the current liquidity status and short-term solvency
  • Development of a rolling liquidity plan (short- and medium-term horizon)
  • Integration of liquidity planning into a comprehensive financial model (income statement, balance sheet, cash flow)
  • Analysis of impending insolvency/over-indebtedness in accordance with IDW S11
  • Preparation and validation of integrated multi-year plans

Going-concern forecast, viability forecast, and analysis of debt-servicing capacity

Going-concern and viability forecasts go beyond short-term liquidity planning in that they assess the company’s medium- to long-term economic viability based on integrated planning.

As soon as risks that threaten the company’s continued existence become apparent, a going concern forecast under commercial law must be prepared in accordance with the HGB going concern principle and IDW PS 270 (as amended). It is based on integrated corporate planning (balance sheet, income statement, and cash flow planning) and covers at least 12 months from the balance sheet date; the more specific the risk indicators, the more detailed the analysis must be.

Independent Business Review

An Independent Business Review provides an independent, structured assessment of the company’s financial situation and business planning. The focus is on evaluating the company’s ability to continue as a going concern, the viability of its business model, and the plausibility of its business plan. The IBR thus creates an objective basis for decision-making for banks, shareholders, and other stakeholders, particularly when there is uncertainty about the company’s prospects and confidence needs to be established or strengthened.

Our services within the scope of an Independent Business Review include, in particular:

  • Assessment of the business model, market environment, and key risk drivers
  • Analysis of the current liquidity, earnings, and financial position (More information: Financial Due Diligence)
  • Validation of forecasts, integrated plans, and restructuring programs (More information: Modeling Solutions)
  • Presentation of results tailored to the target audience and stakeholders as a basis for decision-making (e.g., for banks, shareholders, and committees) 

Restructuring report (IDW S 6)

A restructuring report in accordance with IDW S 6 builds on the findings of an Independent Business Review but goes significantly deeper. The focus is on a structured assessment of whether and under what conditions your company is capable of restructuring and continuing operations—based on the guidelines of the Institute of Public Auditors in Germany (IDW) and the relevant case law of the Federal Court of Justice (BGH).

The restructuring report provides management, financiers, shareholders, and other stakeholders with a legally sound basis for decisions regarding business continuity, financing, and necessary contributions.

Our services include, in particular:

  • Assessment of viability and restructuring potential in accordance with IDW S 6
  • Analysis of the initial economic situation and the key causes of the crisis
  • Presentation of the business model, market environment, and competitive position
  • Verification of the integrated planning (income statement, balance sheet, liquidity)
  • Verification of the restructuring concept, including the package of measures, timeline, and financing requirements

Early crisis detection according to StaRUG

Early crisis detection and crisis management in accordance with StaRUG aim to identify financial and operational risks at an early stage and manage them in an orderly manner before acute insolvency conditions arise. To this end, StaRUG expressly establishes a legal obligation for management to implement an appropriate early crisis detection system and to take active countermeasures when risks become apparent. Failure to implement a suitable early detection system or to take necessary measures may result in liability risks for management. A professionally designed early crisis detection system therefore creates transparency and forms the basis for examining restructuring options at an early stage and ensuring the company’s viability.
