M&A Sell-Side Advisory

Selling a business is much more than a standardized process. The key factors are proper positioning, identifying the right buyer universe, a robust negotiation strategy, and professional management of every step of the process. Our M&A Sell-Side Advisory experts support companies, shareholders, and investors in the sale of companies, equity stakes, and business units—from strategic preparation and investor outreach through to successful signing and closing.

We provide support for succession planning, partial sales, carve-outs, PE exits, and dual-track processes. In doing so, we combine a deep understanding of the SME sector with experience in domestic and cross-border transactions, managing the sales process with a clear focus on deal certainty, competitive bidding, and a robust outcome.

Our Services

Strategic preparation for the sale

We refine the equity story, define the appropriate marketing approach, and develop a process strategy tailored to the transaction objectives.

Identification and outreach to suitable buyers

We identify strategic investors and private equity investors, prioritize the relevant buyer universe, and facilitate a targeted, discreet outreach.

Preparation of sales materials

We assist with the preparation of transaction-related documents, including, in particular, information memoranda, management presentations, and other marketing materials.

Data Room Preparation and Process Management

We organize the preparatory work, coordinate the provision of relevant information, and manage the entire process throughout all phases.

Support for management interactions, negotiations, signing, and closing

We prepare for management meetings, facilitate Q&A sessions, and provide support during negotiations, focusing on structure, purchase price, and deal certainty. This also includes addressing financial aspects of the SPA and purchase price mechanisms as an integral part of the negotiation process. We work closely with all parties involved to manage the relevant steps of the process through to signing and closing.
