Fit for Sale - Transaction-oriented preparation looking ahead to a future M&A process

Fit for Sale is designed to optimally prepare for the future sale process, with a particular focus on due diligence requirements and negotiation scenarios. The goal is not theoretical optimization, but rather a concrete improvement in future marketability, process certainty, and deal certainty in order to optimize the sale price and reduce the effort and costs involved in the transaction.

Our Services

Strategic Workshop and Joint Assessment

First, we establish a shared understanding of the current situation, the target vision, and the specific requirements of the planned transaction. In doing so, we examine, among other things, the equity story, positioning, growth strategy, business model, management structure, market environment, and key buyer expectations.

Analysis, Red Flags, and Action Plan

Based on the workshop, we identify critical areas, assess red flags, and derive specific measures to improve transaction readiness. These include, for example, management structure, business plan, revenue visibility, data quality, reporting setup, corporate and tax structure, risk and transparency issues, as well as other transaction-relevant value drivers.

Refining positioning and the equity story

We help position the company for a future sale, refine its equity story, and further develop its corporate profile so that its market appeal, growth potential, and investment value can be presented more clearly and convincingly.

Operational preparation for the transaction

If necessary, we also assist with the implementation of prioritized measures. Depending on the initial situation, this may include, for example, improving data and information structures, optimizing reporting and KPI management, refining the business plan, preparing for a carve-out, addressing legal and tax structural issues, optimizing working capital, or preparing key contractual and asset-related matters.
