Financing via the stock exchange has always been considered the pinnacle of corporate finance, as it offers the greatest potential. However, due to the regulatory and commercial hurdles for companies, the regulated capital market also brings with it the greatest challenges to obtain new capital.

In particular, this applies to the classic IPO (IPO), which, whether in Frankfurt, London or New York, involves a very large complexity.

In order to meet these complex requirements, all system and process-relevant requirements must first be met and then all internal and external parties must be structured and efficiently managed in the actual IPO preparation. It is of particular importance that all persons involved pull together.

Our role as IPO consultants is flexible, but in principle aligned so that our IPO-experienced consultants - we have IPOs as supervisory board, CEO and CFO are responsible - Provide you with competent advice and support from the outset in all decisions regarding your IPO and in all phases of the process. This starts with the decision for (or against) an IPO, followed by the establishment of the internal structures, systems and processes required by the capital market. At the same time, the best "stock exchange" is selected and the syndicate of the investment banks and lawyers involved is structured. We also take over the efficient management of the core IPO process (due diligence process, preparation and approval of the stock exchange prospectus, IR support, pricing, etc.) until the first trading day.

We always keep an eye on the big picture for you and consistently represent your interests to all parties involved, such as investment banks, auditors, tax consultants and lawyers. We also continuously monitor the individual process steps and can thus lead you very effectively to the desired result - your successful listing on the "best" stock exchange for your company.

SPAC consulting - "turbo IPO" via a listed cash envelope

Since 2020, SPAC IPOs have dominated the American IPO landscape and an end to the boom is not foreseeable. As is so often the case, this American development reaches Europe with a little delay, where the first SPAC IPOs took place in Q1 2021.

SPACS, in other words, cash-filled exchange shells, offer capital-market-oriented companies very interesting alternative access to the stock exchange. Instead of going the long way through a classic IPO, you can buy from a SPAC and take over its listing. As a rule, this process is faster, cheaper and less risky than the conventional IPO. We know this from our own hands-on experience, one of our M&A consultants founded the second SPAC listed in Germany and led to its "de-SPAC-ing".

Our role as your SPAC consultant is flexible, but in principle aligned in such a way that our SPAC-experienced consultants advise and relieve you competently from the beginning of all decisions regarding your IPO via a SPAC and in all phases of the process. This starts with setting up the internal structures, systems and processes compatible with the capital market, followed by the identification of your optimal SPAC partner. We not only take over the efficient management of the first project phase up to the business combination agreement for you"with a SPAC (marketing strategy, SPAC approach, due diligence, negotiation BCA) but also support you and your team in the second, joint project phase with the SPAC, to achieve the general assembly approval for the de-SPACing (preparation of all necessary documents for the SEC/BaFin, Analyst Day, Roadshow, etc.). Of course, we also recommend SPAC-experienced lawyers as well as auditors and tax consultants from our network.
