FAQ

Fairness Opinion

In the case of significant transactions, the focus is not only on financial success but also on whether decisions were made carefully, independently, and in a transparent manner. A fairness opinion provides a structured external assessment of the financial reasonableness of an offer price and strengthens the decision-making process for management and governing bodies.

It serves as a key tool for documenting economic reasonableness and supports compliance with the business judgment rule as well as the duties of care under Section 93 of the German Stock Corporation Act (AktG).

Let’s work together to determine how an independent fairness opinion can safeguard your transaction.

Why WTS
Fairness opinions require a high degree of independence, valuation expertise, and transaction experience. Only when valuation logic, market context, and transaction parameters are consistently integrated can a robust foundation for board decisions be established. We combine in-depth valuation expertise with many years of deal experience and prepare fairness opinions in accordance with IDW S 8 and recognized international standards. The result is transparent assessments that stand up to scrutiny not only within decision-making bodies but also before auditors, investors, and shareholders.

Our Fairness Opinion Services

Independent Fairness Opinions

We prepare independent fairness opinions to assess the financial reasonableness of purchase and sale prices as well as exchange ratios in various transaction scenarios. The goal is to derive a robust valuation range and to position the offer price within that range—as a basis for well-informed corporate decisions.

The fairness opinion is based on a structured business valuation and, if desired, is integrated with our M&A Advisory services and financial due diligence to ensure that valuation assumptions, transaction parameters, and financial insights are consistently linked. We develop or review the underlying models in close coordination with our Financial Modeling team.

Our Focus Areas:

  • Preparation of independent fairness opinions for acquisition and divestiture transactions
  • Opinion letters on the financial reasonableness of the offer price
  • Valuation memoranda documenting methods, assumptions, and valuation ranges
  • Assessment of offer prices and exchange ratios
  • Support with management and board presentations
  • Accompanying advisory services prior to and during the transaction process

Second Opinions & Plausibility Checks

We conduct independent plausibility checks on existing business valuations and valuation reports.

Our Focus Areas:

  • Second opinions on existing business valuations
  • Plausibility checks on valuation methodologies and assumptions
  • Identification of significant deviations and value drivers
  • Interpretation of the results for management and governing bodies

Our Approach to a Fairness Opinion

The preparation of a fairness opinion follows a clearly structured review and assessment process. The focus is on the independent analysis of the underlying transaction parameters, valuation assumptions, and market conditions, as well as their consistent integration into a methodologically sound overall picture.
In doing so, we examine not only the mathematical derivation but also the economic plausibility of the underlying projections, cost of capital, and benchmarks. Valuation logic, capital market data, and transaction structure are systematically aligned and translated into a transparent decision-making framework.
The following steps illustrate how we structure, integrate, and document market-based and planning-based approaches.

Step 1

Valuation Methodology and Derivation of the Value Range

We regularly derive the valuation range using a combination of market-based and planning-based methods:

  • Multiple analyses based on comparable transactions and stock market prices
  • Discounted cash flow valuations based on multiple planning scenarios
  • Plausibility checks using analyst estimates and capital market data

The various methods are consistently combined and consolidated into an overall range.

Step 2

Comparison with the asking price

The purchase or sale price in question is compared with the determined valuation range. If the offer price falls within this range, it is deemed financially reasonable.

icon "three"

Step 3

Documentation and Presentation of Results

The results are documented in an opinion letter and a detailed valuation memorandum. The methods, assumptions, and valuation ranges are presented in a transparent manner and prepared for use in management and board decisions.

Step 4

Quality Assurance and Coordination

Throughout the entire process, we ensure consistency with underlying business valuations and transaction assumptions, and coordinate key details with relevant internal and external stakeholders as needed.

Frequently Asked Questions About Fairness Opinions

What is a fairness opinion?

A fairness opinion is a professional assessment of the financial reasonableness of a planned corporate transaction. It evaluates whether a purchase price, sale price, or exchange ratio is reasonable from a financial perspective. Fairness opinions are frequently used in the context of corporate acquisitions, divestitures, mergers, squeeze-outs, public takeovers, or transactions between related companies.

When is a fairness opinion advisable?

A fairness opinion is particularly useful when management, the executive board, the supervisory board, or shareholders wish to validate an important transaction decision. This is especially true in the case of complex M&A transactions, conflicts of interest, minority shareholders, related parties, or large transaction volumes. The fairness opinion provides transparency and documents that the financial parameters of a transaction have been reviewed in a verifiable manner.

What is the process for preparing a fairness opinion?

When preparing a fairness opinion, the transaction, the reason for the valuation, and the relevant information sources are first analyzed. Next, appropriate valuation methods are selected, such as net present value-based methods, multiple-based methods, or market price analyses. Based on this, an assessment is made as to whether the transaction price falls within a reasonable valuation range. The result is summarized in a fairness opinion.

What does a fairness opinion include?

A fairness opinion typically includes a description of the planned transaction, the documents used, the valuation methods, the key assumptions, and the resulting valuation ranges. Its primary focus is on assessing whether the purchase price or consideration is appropriate from a financial perspective. However, a fairness opinion does not replace a full due diligence process and is not automatically equivalent to a comprehensive business valuation report.

What is the difference between a fairness opinion and a business valuation?

A business valuation determines the value of a company or a stake in a company. A fairness opinion, on the other hand, assesses whether a specific transaction price or exchange ratio is financially appropriate. While business valuation can be an important component of a fairness opinion, it is not the sole focus. The key aspect of a fairness opinion is determining whether the transaction price falls within a reasonable financial range.
